Terms of Service

These Terms of Service ("Terms") are a contract between you and Sagely Technologies LLC ("Sage the Date," "we," "us"). They govern your use of sagethedate.com, including our AI assistant, Sage (together, the "Service").

Sections 4, 5, 6, 11 and 12 explain that our cost figures are estimates rather than quotes, that Sage is an AI assistant that can be wrong, and that our liability to you is limited.

By using the Service you agree to these Terms. If you do not agree, please do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. The Service is offered only to users in the United States, and you may not use it from a jurisdiction where doing so would be unlawful.

2. Our role

The Service provides information about wedding venues and tools to help you discover and contact them for your event planning. We are not:

  • a party to any agreement between you and a venue;
  • your agent, broker, planner, or fiduciary;
  • a representative of any venue, and no venue's appearance on the Service implies that it endorses, sponsors, or has any relationship with us;
  • a guarantor of the availability, price, quality, safety, licensing, or insurance of any venue.

All booking decisions are yours. Confirm any detail that matters to you directly with the venue before entering into an agreement or making a payment.

3. Accounts

You may use most of the Service without an account. If you create an account, you are responsible for the accuracy of your information, for keeping your credentials secure, and for activity that occurs under your account. Tell us at hello@sagethedate.com if you suspect unauthorized use.

We may suspend or terminate any account or session at any time if we believe it is being used in violation of these Terms or in a way that risks harm to us, to venues, or to other users.

4. Cost figures are estimates, not quotes

Cost figures shown on the Service pertaining to estimated totals, per-guest costs, budget indicators, ranges, and anything Sage says about money are our own estimates. They are:

  • not quotes, offers, or prices from any venue;
  • not binding on any venue or on us;
  • based on information that may be out of date, incomplete, or inaccurate.

Actual prices are set by venues, change without notice, and are often negotiated. You agree not to rely on any figure shown on the Service as a representation of what a venue will charge you, and we are not liable for any difference between an estimate and your actual cost.

5. AI-generated content

Sage uses artificial intelligence to generate recommendations, explanations, summaries, answers, comparisons, and draft emails. This output is produced automatically, is not reviewed by a person before you see it, and may be inaccurate, incomplete, or wrong.

Sage does not provide legal, financial, tax, insurance, or other professional advice. Verify anything you intend to rely on directly with the venue.

6. Emails we send on your behalf

The Service can draft and send an inquiry email to a venue.

By using this feature you authorize us to transmit that message to the venue on your behalf, with your name and email address as the contact and reply-to. You are the sender of the message and remain responsible for its contents, including any edits you make.

You agree to provide your own real name and an email address you control, to review the draft before sending, and to use the feature only for genuine, personal event inquiries. You may not use it to send commercial solicitations, bulk or automated messages, spam, or anything harassing, deceptive, or unlawful.

We may verify your email address before a first send. We cannot guarantee delivery of any message or any response from any venue, and messages can be delayed, filtered, or lost.

7. Venue information and third-party content

We do not create the underlying venue information from which we compile our analysis and present on this Service. Thus we cannot independently verify all of the underlying information, and it may be inaccurate, incomplete, or outdated.

Venue names, marks, and images belong to their respective owners and are used to identify and describe those venues; their appearance does not indicate any affiliation with or endorsement by them. Links to third-party sites are provided for convenience, and we are not responsible for their content or practices.

Venues and other rights holders may request a correction or removal at hello@sagethedate.com.

8. Acceptable use

You may not, and may not permit anyone else to:

  • scrape, crawl, harvest, or bulk-download any part of the Service, or use automated means to access it, other than a search engine obeying our robots.txt;
  • copy, resell, sublicense, or redistribute any content, data, estimates, or results from the Service, or use them to build or train a competing product, dataset, or model;
  • reverse engineer, decompile, or attempt to derive our data or methodology, or probe the Service to extract its underlying content or instructions;
  • circumvent rate limits, access controls, verification steps, or usage caps;
  • submit false information, impersonate anyone, or send inquiries you do not genuinely intend;
  • upload malicious code, interfere with the Service's operation, or attempt to access accounts, data, or systems you are not authorized to access;
  • use the Service for any unlawful purpose or in violation of applicable law.

9. Intellectual property

The Service, including its software, design, content, the Sage assistant, and our compilation, organization, and analysis of the information it presents, is owned by us and protected by intellectual property law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service to plan your own event. No other rights are granted.

You retain ownership of the content you submit such as your search descriptions, messages to Sage assistant, and email drafts. You represent that you have the rights to submit it.

10. Privacy

Our Privacy Policy explains what we collect and how we handle it. By using the Service you agree to those practices.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT — INCLUDING VENUE INFORMATION, COST ESTIMATES, AND AI-GENERATED OUTPUT — IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE. WE MAY CHANGE, SUSPEND, OR DISCONTINUE ANY PART OF THE SERVICE AT ANY TIME WITHOUT NOTICE.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, DEPOSITS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

WITHOUT LIMITING THE ABOVE, WE ARE NOT LIABLE FOR ANY DISPUTE BETWEEN YOU AND A VENUE, ANY VENUE'S ACTS OR OMISSIONS, ANY AMOUNT YOU PAY A VENUE, ANY DIFFERENCE BETWEEN AN ESTIMATE AND AN ACTUAL PRICE, OR ANY DECISION YOU MAKE BASED ON THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Sagely Technologies LLC and its members, officers, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, messages sent through the Service on your behalf, your dealings with any venue, or your violation of these Terms or applicable law.

14. Governing law and disputes

Email hello@sagethedate.com describing the issue and the resolution you are seeking. We will work in good faith to resolve it within 30 days.

These Terms, and any dispute arising out of or relating to them or to your use of the Service, are governed by the laws of the state in which Sagely Technologies LLC maintains its principal place of business, without giving effect to any choice-of-law rule that would apply the law of a different jurisdiction. Any such dispute must be brought only in the state or federal courts serving that location, and you agree to personal jurisdiction there.

15. Changes to these Terms

We may revise these Terms at any time. If a change is material, we will update the "Last updated" date above. Continuing to use the Service after a change means you accept the revised Terms.

16. General

These Terms, with the Privacy Policy, are the entire agreement between us about the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. Sections 4–9 and 11–14 survive termination.
